Terms of Service - Al Basata UAE

By utilizing any services offered by Al Basata UAE, whether through our website, direct engagement, or any other means, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services. These Terms constitute a legally binding agreement between you (the "Client" or "you") and Al Basata UAE (the "Company," "we," "us," or "our").

You agree to provide accurate, complete, and timely information required for the provision of services. You must also comply with all applicable laws, regulations, and industry standards, including those related to offshore operations, hazardous materials, and environmental protection.

Ensure that all cargo placed in our containers or handled by our services is lawful, properly declared, and securely packed. You must adhere to all safety regulations, guidelines, and instructions provided by Al Basata UAE.

Promptly pay all fees and charges associated with the services as per the agreed payment terms in your Service Agreement. You must also notify Al Basata UAE immediately of any damage, loss, or defect to the containers or equipment provided.

To the maximum extent permitted by UAE law, Al Basata UAE's total liability for any claims, damages, or losses arising out of or in connection with these Terms or the provision of services shall be limited to the total fees paid by the Client for the specific services giving rise to the claim during the preceding twelve (12) months. Al Basata UAE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, even if advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Al Basata UAE, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: Your use of the services in violation of these Terms or any Service Agreement; Your negligence, willful misconduct, or breach of any applicable laws or regulations; Any damage to or loss of containers/equipment while under your care, custody, or control; Claims by third parties related to your cargo or operations.

Al Basata UAE shall not be liable for any failure or delay in performing its obligations under these Terms or any Service Agreement where such failure or delay results from any cause beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Clients are responsible for obtaining and maintaining adequate insurance coverage for their cargo, operations, and any equipment provided by Al Basata UAE while under their control, against all foreseeable risks, including but not limited to loss, damage, and third-party liability. Al Basata UAE carries its own insurance for its operations, but this does not negate the Client's responsibility to insure their own assets and liabilities.

Al Basata UAE is committed to protecting your privacy and personal data. We collect, use, and store personal data in accordance with applicable UAE laws, including Federal Decree Law No. 45 of 2021 Regarding the Protection of Personal Data (PDPL), and where applicable, international regulations such as the GDPR. We implement appropriate technical and organizational measures to protect personal data from unauthorized access, disclosure, alteration, or destruction. Personal data will be retained only for as long as necessary, and you have certain rights regarding your data. For more details, please refer to our Privacy Policy.

Al Basata UAE employs industry-standard security practices, including firewalls, intrusion detection systems, anti-malware software, regular vulnerability assessments, and employee training, to safeguard our IT infrastructure and client information. While we maintain high security standards, clients are responsible for maintaining the security of their own systems, networks, and credentials used to access our services. This includes using strong, unique passwords and implementing multi-factor authentication where available.

In the unlikely event of a suspected or confirmed data breach or cybersecurity incident affecting your data held by Al Basata UAE, we will notify you in accordance with applicable UAE data protection laws. We expect clients to similarly notify us promptly of any security incidents on their end that may impact our services or shared data. While we strive for the highest level of security, no system is entirely impenetrable. Al Basata UAE cannot guarantee absolute security of data transmitted over the internet.

All content, trademarks, logos, and intellectual property displayed on albasatauae.com and related to Al Basata UAE's services are the sole property of Al Basata UAE or its licensors. You may not use, reproduce, distribute, or create derivative works from any of our intellectual property without our express written consent.

Either party may terminate a Service Agreement in accordance with the terms specified therein. In the absence of specific termination clauses in a Service Agreement, either party may terminate services with reasonable written notice. Termination does not relieve the Client of any outstanding payment obligations. Al Basata UAE reserves the right to suspend or terminate services immediately, without notice, if the Client: breaches these Terms or any Service Agreement; engages in illegal or fraudulent activities; fails to make payments when due; or poses a security risk or jeopardizes the integrity of our operations.

These Terms and any Service Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Sharjah. Any dispute, controversy, or claim arising out of or in connection with these Terms or the services provided, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in Sharjah, UAE, in accordance with the rules of the Sharjah International Commercial Arbitration Centre (SICAC) in force at the time of the commencement of the arbitration. The language of the arbitration shall be English. Notwithstanding the above, Al Basata UAE reserves the right to seek injunctive relief or other equitable remedies in any court of competent jurisdiction to protect its intellectual property rights or enforce urgent payment obligations.

Al Basata UAE reserves the right to update or modify these Terms at any time. We will notify Clients of any significant changes by posting the updated Terms on our website or through direct communication. Your continued use of our services after the effective date of the revised Terms constitutes your acceptance of the changes.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and Al Basata UAE regarding the services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
